Conditions Precedent Checklist

  • No uncured defaults under original agreement
  • Timely written renewal notice per original agreement's notice window
  • All financial obligations current (royalties, ad fund, technology fees, audit assessments)
  • Insurance maintained continuously; franchisor named as additional insured
  • All licenses, permits, health/safety certifications current
  • Execution of general release with statutory carve-outs
  • Execution of franchisor's then-current standard form franchise agreement

Release of Claims

Include a broad general release from franchisee and owners (individually, plus heirs, successors, assigns) discharging franchisor and affiliates from all claims arising from the franchise relationship through the execution date. Must include carve-outs for: (a) claims non-releasable under applicable state franchise relationship laws; (b) any additional jurisdiction-specific exceptions. Mark unknown-claims waivers with [VERIFY] for states restricting Civil Code § 1542-type waivers.

Renewal Fee

Specify as a fixed dollar amount — never a formula or percentage. Address due date, payment method (wire/certified check), credit against initial franchise fee under new agreement, refundability conditions with precise deadlines, and late payment consequences including right to terminate renewal.

  • State relationship laws: CA, IL, IN, IA, MI, MN, NE, NJ, WA, WI restrict term changes on renewal, may require good cause for non-renewal, or grant statutory renewal rights [VERIFY specific state applicability]
  • Release restrictions: Several states prohibit requiring releases as a renewal condition — confirm enforceability in applicable jurisdiction [VERIFY]
  • Disclosure timing: State requirements may differ from federal 14-day rule

Drafting Rules

  • Eliminate any gap between original agreement expiration and renewal effective date
  • Specify all accrued obligations survive termination (indemnification, confidentiality, post-term non-competes, unpaid amounts)
  • Address treatment of prior amendments/side letters explicitly — carry forward, renegotiate, or terminate
  • Address deposits/reserves held under original agreement (ad reserves, technology upgrade funds)
  • Include FDD receipt acknowledgment and advisor consultation acknowledgment
  • Use defined terms consistently; define on first use

Do Not

  • Use percentage-based or formula renewal fees
  • Assume release provisions are enforceable in all states
  • Leave ambiguity about which agreement governs during transition
  • Omit carve-outs for non-waivable statutory rights in releases
  • Require franchisee to violate applicable laws as a renewal condition
